require simple easy steps to proceed.
am i loading the wrong distro? is there a separate procedure for agere soft 
modem?
where am i wrong please?

Soft modems are modems in which the majority of the controls lie in a 
proprietary software driver which generally works only for Windows. See 
http://linmodems.org/. You might be able to fiddle and get it working ;
but I would strongly recommend using a hardware modem that is natively 
supported by the Linux kernel.
