I think it depends how much ram you intend having in your machine. 
if you have over a certain amount, it will only work properly with a 64bit os I 
believe. would not like to 100% swear to that though. 
as for software, it depends what system you have been using before. 
I can't speak for windows 8, if you want to go that way, but if for example, 
you were already using a 32bit version of windows 7, and your software works 
with that already, then you shouldn't have too many problems. 
if however, you are upgrading from an earlier system, such as XP, and have a 
fair bit of older software, that may be a different matter.
